Foli Terms of Service

These Terms of Service (“Terms”) govern your use of the Foli mobile application (“App”) and website (“Site”) operated by Foli (“Foli,” “we,” “us,” or “our”). By creating an account or using the App, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use Foli. By creating an account, you represent that you meet these requirements.
2. Account Registration
You must provide accurate, complete information during registration and keep it updated. You are responsible for maintaining the security of your account credentials. You are responsible for all activity under your account. One person may maintain only one account.
3. The Foli Marketplace
Foli is a platform that connects buyers and sellers of collectibles. Foli is not a party to transactions between buyers and sellers. Foli does not own, possess, or inspect items listed on the platform. Foli does not guarantee the authenticity, condition, legality, or quality of listed items.
Sellers are independently responsible for: the accuracy of their listings, the authenticity and condition of their items, complying with all applicable laws regarding the sale of their items, fulfilling orders and shipping items to buyers, reporting and paying all applicable taxes on their sales.
Buyers are independently responsible for: performing their own due diligence before purchasing, understanding that grading company data retrieved through the App is provided for convenience and may contain errors.
4. Video Deal Confirmation
Foli offers an optional video deal confirmation feature. When both parties participate in a video session to confirm a deal, the session is recorded and stored as a transaction receipt.
By joining a video deal confirmation session, you consent to being recorded. You are notified that recording is active before entering the session and must affirmatively agree. The recording is stored and accessible to both parties in the transaction. Recordings may also be reviewed by Foli in the event of a dispute.
You agree not to record or screenshot video sessions using external tools. You agree not to use video recordings for any purpose other than reviewing the transaction.
5. Payments and Fees
Foli uses Stripe Connect to process payments between buyers and sellers. By listing items for sale, you agree to create a Stripe Express connected account and accept Stripe's terms of service.
Platform fee. Foli charges a platform fee on each completed transaction. This fee is automatically deducted before funds are transferred to the seller.
Payment holds. When a buyer commits to a purchase, funds are authorized (held) on the buyer's payment method. Funds are captured upon video deal confirmation or mutual agreement. Authorization holds expire if the transaction is not completed within 5 days.
Refunds and cancellations. If a transaction is cancelled before the video confirmation step, the buyer's payment hold is released. After a transaction is confirmed and the payment captured, refunds are handled through Foli's dispute process. Stripe's processing fees may not be refundable.
Seller payouts. Sellers receive payouts according to Stripe's payout schedule to the bank account registered during onboarding. Foli does not hold seller funds — Stripe does.
6. Shipping and Delivery
For shipped transactions, the seller is responsible for packaging and shipping the item to the buyer's provided address within 7 days of deal confirmation. The seller must provide a valid tracking number.
If the seller does not ship within 7 days, the buyer may request cancellation. If the item is not received or is significantly not as described, the buyer may file a dispute.
For in-person transactions (local meetups, card shows), no shipping is required. The video confirmation serves as proof of the exchange.
7. Listing and Content Standards
You retain ownership of content you upload (photos, descriptions, profile information). By uploading content to Foli, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the App.
We reserve the right to remove any listing or content that violates these Terms or our Community Guidelines, at our sole discretion.
8. Disputes Between Users
If a dispute arises between a buyer and seller regarding a transaction, Foli will review the dispute using available evidence including: the video deal confirmation recording, transaction records, tracking information, photos and descriptions provided by both parties, and any additional evidence submitted.
Foli will attempt to resolve disputes fairly but our decision is advisory unless we determine that a refund is warranted, in which case we may initiate a refund through Stripe. In all cases, either party may pursue resolution through other legal channels.
9. Prohibited Conduct
You agree not to: use the App for any illegal purpose, circumvent or attempt to circumvent any security measures, scrape, harvest, or collect data from the App by automated means, impersonate another person or entity, manipulate prices, engage in shill bidding, or create false transactions, use the App to launder money or facilitate any financial crime, interfere with other users' use of the App, or reverse engineer, decompile, or disassemble the App.
10. Intellectual Property
The App, including its design, code, features, and branding, is the property of Foli and protected by intellectual property laws. “Foli” and the Foli logo are trademarks.
11. Limitation of Liability
To the maximum extent permitted by law, Foli shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: (a) your use or inability to use the App; (b) any transaction or interaction between you and another user; (c) any content or items purchased through the App; (d) unauthorized access to or alteration of your data.
12. Disclaimer of Warranties
The App is provided “as is” and “as available” without warranties of any kind, whether express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Indemnification
You agree to indemnify and hold harmless Foli and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from: your use of the App, your violation of these Terms, your violation of any third party's rights, or any transaction between you and another user.
14. Termination
We may suspend or terminate your account at any time, with or without cause, and with or without notice. You may delete your account at any time through the App's Settings screen, subject to completing or cancelling any active transactions.
